Board of Directors Resolution

WHEREAS it is desirable for Encana Corporation to adopt a Corporate Constitution that will set out the foundation upon which we will build a high performance, principled corporation;

NOW THEREFORE BE IT RESOLVED that the Encana Corporate Constitution is hereby unanimously approved to be effective from September 2003 onwards.
